Intellectual Property Associate - 2-4 Years

About the Firm

Dipchand LLP is a growing Bay Street law firm with particular strength in intellectual property law and litigation, as well as corporate/commercial and franchise law. We act for sophisticated Canadian and international clients across a range of industries and sectors including technology, biotech, pharma, F&B, hospitality, manufacturing, and franchise systems.

Our Intellectual Property group works with clients on the acquisition, protection, enforcement, commercialization, and strategic use of intellectual property rights. We advise on matters ranging from patent and trademark prosecution and portfolio management, brand protection, complex intellectual property disputes, licensing arrangements, and transaction-related IP issues.

The Opportunity

We are seeking an Intellectual Property Associate (2023-2025 year of call) to join our growing and sophisticated Intellectual Property group in a role that offers significant exposure to both litigation and trademark matters.

This is an opportunity to join a growing practice where associates are entrusted with meaningful responsibility, direct client interaction, and significant opportunities for professional growth.

The successful candidate will work closely with our partners on a broad range of matters, including:

  • Intellectual property litigation and dispute resolution
  • Trademark oppositions, enforcement, and portfolio management
  • Copyright, branding, and trade secret matters
  • Commercialization and licensing transactions
  • Intellectual property due diligence and strategic advisory work
  • This position does not involve patent prosecution.

Unlike larger institutional environments where matters are often highly specialized, our lawyers are encouraged to develop broad legal and business judgment while maintaining deep expertise in their chosen practice areas.

This role is particularly well suited to an associate seeking greater client contact, earlier responsibility, and a more entrepreneurial platform from which to develop their practice.

We are looking for candidates who are motivated to build judgment, take ownership, and contribute meaningfully early in their careers. This role is best suited for someone who prefers substance and responsibility over formality and hierarchy.

  • Excellent drafting, analytical, and advocacy skills
  • Strong attention to detail and practical judgment
  • Experience in intellectual property litigation (including articling)
  • Exposure to trademark prosecution work is an asset (but not required)
  • Technical, scientific, or engineering background preferred
  • Called to the Ontario Bar – 2–4 years of call (2023-2025)

Compensation

Salary is commensurate with year of call:

  • 2025 Call: $100,000
  • 2024 Call: $110,000
  • 2023 Call: $125,000

Bonus eligibility and compensation growth are based on performance and contribution.

Corporate Associate - 3-5 Years

About the Firm

Dipchand LLP is a boutique Bay Street law firm focused on business law, with particular strength in corporate/commercial transactions, franchising, intellectual property, and litigation. We act for sophisticated Canadian and international clients across a range of industries, including hospitality, manufacturing, technology, and franchise systems.

Our corporate practice is highly active, with a steady volume of share purchases, asset acquisitions, franchising matters, reorganizations, and general commercial work. Associates are given meaningful responsibility early and are expected to take ownership of their files.

The Opportunity

We are seeking a junior Corporate Associate (2022-2024 year of call) to join our growing corporate and franchising practice.

This role is suited to someone who thrives in a fast-paced, transaction-heavy environment and is comfortable managing a significant volume of files with appropriate supervision.

You will primarily work on:

  • Share purchase transactions
  • Asset purchase transactions
  • Franchise-related matters, including franchise agreements, disclosure documents, and system expansion

Key Responsibilities

Transactional Work

  • Draft and negotiate share and asset purchase agreements
  • Prepare disclosure schedules and ancillary documentation
  • Manage closing processes, including checklists, deliverables, and execution
  • Coordinate transaction closings end-to-end

Franchising

  • Draft and review franchise agreements and disclosure documents (FDDs)
  • Support franchisor clients in system development and expansion
  • Assist with structuring franchise relationships and ensuring compliance

Due Diligence

  • Conduct and synthesize corporate, commercial, and franchise-related due diligence
  • Identify key legal and business risks and communicate them clearly

File Ownership

  • Manage multiple files concurrently with limited supervision
  • Track deliverables, deadlines, and next steps independently
  • Maintain organized and accurate file records

Client Interaction

  • Communicate directly with clients on discrete issues
  • Provide timely, clear, and business-oriented advice
